End User Licence Agreement

This End User Licence Agreement ('EULA' or 'Agreement') is a legally binding agreement between you ('you' or 'your') and Tune ('we', 'us', or 'our'), operated by Yuseong Min (ABN 90 754 006 814), a sole trader registered in Australia, governing your use of the Tune desktop application ('Software').
By downloading, installing, or using the Software, you agree to be bound by this Agreement. If you do not agree to this Agreement, do not download, install, or use the Software.
This Agreement should be read in conjunction with our Terms of Service and Privacy Policy.

1. Licence Grant
Subject to your compliance with this Agreement and any applicable subscription terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to download, install, and use the Software on devices you own or control, solely for your personal or internal business purposes.
This licence is granted on a per-user basis. You may install the Software on multiple devices, subject to the device activation limits associated with your subscription plan.
This licence does not constitute a sale of the Software. We retain all rights not expressly granted to you in this Agreement.
2. Licence Restrictions
You agree not to, and shall not permit any third party to:
- Copy, modify, adapt, translate, or create derivative works of the Software, except to the extent that such restriction is expressly prohibited by applicable law.
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure of the Software, except to the extent that such restriction is expressly prohibited by applicable law.
- Distribute, sublicense, lease, rent, lend, or otherwise transfer the Software or any rights therein to any third party.
- Remove, alter, or obscure any proprietary notices, labels, or marks on the Software.
- Use the Software to develop a competing product or service.
- Circumvent, disable, or interfere with any licence verification, rate limiting, or security features of the Software.
- Use the Software in any way that violates applicable laws or regulations.
3. Subscription and Activation
Free Tier
The Software may be used without a subscription under the free tier, subject to usage limits (currently 5 rewrites per day per device). The free tier is subject to all terms of this Agreement.
Paid Subscription
Additional features and usage limits are available through a paid subscription ('Tune Pro'). Subscription terms, pricing, auto-renewal, cancellation, and refund policies are governed by our Terms of Service, specifically Sections 4 and 8.
Device Activation
Your subscription is activated on a per-device basis using a unique device identifier (UUID). You may manage your activated devices through the Lemon Squeezy customer portal, accessible from Settings > General > 'Manage subscription' within the Software.
4. Intellectual Property
All rights, title, and interest in and to the Software, including but not limited to its design, code, user interface, documentation, and branding, are and shall remain the exclusive property of Tune. This Agreement does not grant you any ownership rights in the Software.
The Tune name, logo, and all related names, logos, product and service names, designs, and slogans are our property. You may not use such marks without our prior written permission.
5. Third-Party AI Services
The Software uses third-party artificial intelligence services, specifically OpenAI's gpt-4o-mini model, to perform text rewriting. You acknowledge and agree that:
- Your selected text is transmitted to OpenAI's API via the Tune proxy server for processing.
- We do not control the output quality, accuracy, or reliability of AI-generated content produced by OpenAI's model.
- AI-generated output may contain errors, inaccuracies, biases, or inappropriate content. You are solely responsible for reviewing and verifying all AI-generated output before relying on it.
- Your use of the AI rewriting functionality is subject to OpenAI's usage policies, in addition to this Agreement.
- OpenAI retains API data for up to 30 days for abuse monitoring. OpenAI does not use API data for model training.
6. Open Source Components
The Software includes open source software components licensed under MIT and Apache-2.0 licences. A complete list of these components and their licences is available in the THIRD_PARTY_LICENSES file included with the Software and accessible from within the application. Your use of these open source components is governed by their respective licences.
7. Australian Consumer Law
Nothing in this Agreement excludes, restricts or modifies any consumer guarantee, right or remedy conferred on you by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot be excluded, restricted or modified by agreement.
Software is classified as 'goods' under Australian Consumer Law. Consumer guarantees apply automatically and cannot be excluded by contract.
8. Disclaimer
Subject to Section 7 (Australian Consumer Law), and to the maximum extent permitted by applicable law, the Software is provided on a basis that excludes all warranties, conditions, and representations not expressly set out in this Agreement.
Without limiting the foregoing and subject to Section 7:
- We do not warrant that the Software will be uninterrupted, error-free, or free of viruses or other harmful components.
- We do not warrant that AI-generated output will be accurate, complete, or suitable for any particular purpose.
- We do not warrant that the Software will be compatible with all hardware or software configurations.
9. Limitation of Liability
Subject to Section 7 (Australian Consumer Law), and to the maximum extent permitted by applicable law:
- Our total aggregate liability to you for all claims arising out of or relating to this Agreement or the Software shall not exceed the amount you have paid to us for the Software in the twelve (12) months immediately preceding the event giving rise to the claim, or $50 USD, whichever is greater.
- In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses.
- We shall not be liable for any damages arising from your reliance on AI-generated output.
These limitations do not apply to liability that cannot be excluded or limited under applicable law, including Australian Consumer Law.
10. Termination
Termination by You
You may terminate this Agreement at any time by uninstalling the Software and destroying all copies in your possession or control. If you have an active subscription, cancellation of your subscription is governed by the Terms of Service.
Termination by Us
We may terminate this Agreement immediately if you breach any term of this Agreement. We may also terminate this Agreement if we discontinue the Software.
Effect of Termination
Upon termination of this Agreement:
- Your licence to use the Software ceases immediately.
- You must uninstall the Software and destroy all copies in your possession or control.
- Provisions of this Agreement that by their nature should survive termination shall survive, including but not limited to Sections 4 (Intellectual Property), 7 (Australian Consumer Law), 8 (Disclaimer), and 9 (Limitation of Liability).
11. Data and Privacy
The Software's data collection and processing practices are described in our Privacy Policy. By using the Software, you acknowledge that you have read and understood our Privacy Policy.
Key points:
- Your selected text is processed in memory only and is never stored to disk, logged, or used for analytics.
- The Software stores configuration data, licence metadata, and a device identifier locally on your device.
- Your licence key is stored in your operating system's credential manager (macOS Keychain / Windows Credential Manager), never in plaintext files.
12. Updates
We may release updates to the Software from time to time. The Software includes an automatic update check mechanism. Updates may modify the Software's functionality and may be subject to additional or revised terms. Your continued use of the Software after an update constitutes acceptance of any revised terms.
13. General Provisions
Entire Agreement
This Agreement, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and us regarding the Software.
Severability
If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Australia.
Assignment
You may not assign or transfer this Agreement or your rights under this Agreement without our prior written consent. We may assign this Agreement without restriction.
Waiver
Our failure to enforce any right or provision of this Agreement shall not be deemed a waiver of such right or provision.
